PURCHASE POLICIES FOR DISTRIBUTORS – EVOBIKE

These policies govern the commercial relationship between EVOBIKE and its Distributors. Acceptance of a purchase order implies unconditional agreement to these terms.

1. Delivery and logistics management

To ensure supply chain efficiency, the following conditions apply:

1.1. The Distributor must provide the details of the person responsible for transport and
logistics.

1.2. Changes to the driver's information will only be allowed within the
twenty-four (24) hours following dispatch confirmation; after
this period, no changes will be accepted.

1.3. To access the warehouse, the carrier must present the entry confirmation provided by the sales advisor.

2. Receipt of goods and issues

The Distributor is required to inspect the products upon arrival:

2.1. The Distributor is required to inspect the products at the time of delivery.

2.2. Any anomaly or shortage must be reported within one (1) to three (3) calendar days of receipt. Late claims will not be processed.

2.3. EVOBIKE assumes no responsibility for damage (dents, scratches, loss) arising from
transport, this being the sole responsibility of the contracted
carrier

2.4. After delivery, the Distributor is responsible for proper storage and
handling to ensure the integrity of the product until its final sale.

3. Exchanges, cancellations and returns

The exchange policy is restrictive to ensure turnover of new inventory:

3.1. Once the product has been invoiced, exchanges will not be accepted if the item is in optimal physical and working condition.

3.2. The Distributor may cancel the purchase only within five (5) business days after the purchase, provided the vehicle has not been used and is returned in perfect cosmetic and mechanical condition.

3.3. In the event of a cancellation, the Distributor will bear all transportation and logistics costs to the facilities of EVOBIKE.

4. Product warranty and custody

Responsibility for the integrity of the product transfers to the buyer upon delivery:

4.1. In accordance with Article 10 of Law 1480 of 2011, the Distributor is jointly liable for the warranty to the end consumer.

4.2. The Distributor must strictly follow the battery care and storage recommendations. Failure to comply with these guidelines releases EVOBIKE from warranties or repairs due to deterioration in storage.

4.3. Repair Management:

The Distributor must have technicians trained by EVOBIKE to handle warranties.

EVOBIKE will provide the necessary spare parts and offer remote support via video call
to resolve complex failures.

5.2. Reference changes on purchase orders are not allowed for accounting reasons, except when out of stock, in which case the reference may be changed or the balance left
as credit.

5.3. Balances from warehouse purchases may only be applied at the Cota warehouse; they cannot be used in physical stores.

5.4. Current discounts are temporary and do not oblige EVOBIKE to maintain them throughout
the entire commercial relationship.

6. Additional obligations

6.1. The Distributor may have two (2) technicians trained within the month following the purchase, subject to the after-sales department's schedule availability.

6.2. The supply of advertising material is subject to marketing inventory and
applies exclusively to Official Store Distributors.
